These Terms & Conditions (“Terms”) govern your use of the Andromeda Integrations website,
services, consulting, AI-powered solutions, automations, and access to the Andromeda
Business App (powered by Vendasta). By using our website, engaging our services, or
creating an account within the Business App, you agree to these Terms.

1. Acceptance of Terms

By accessing our website, purchasing services, or using the Andromeda Business App, you
agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not
use our services.

2. Scope of Services

Andromeda Integrations provides marketing, automation, consulting, AI-assisted content
generation, review management, listing optimization, website support, and related digital
services. We may also assist clients with referrals to third-party financing partners upon request.

Service Structure

• Most services are billed month-to-month unless otherwise specified
• Certain services may require a fixed-term agreement (3–12 months)
• Service details, inclusions, and pricing are defined in your individual service order or agreement

3. Client Responsibilities

To receive services, you agree to:

• Provide accurate and complete business information
• Grant necessary account access permissions (Facebook, Instagram, Google Business Profile, etc.)
• Respond to requests for content, approvals, or materials in a timely manner
• Maintain valid payment methods on file
• Use the Business App and services in compliance with all applicable laws

4. Access to the Andromeda Business App (Powered by Vendasta)

Client accounts within the Business App operate on Vendasta’s platform infrastructure. By
using the Business App, you agree to Vendasta’s applicable policies in addition to our own.

Platform Limitations

We do not control Vendasta’s hosting, internal data storage, security protocols, API structure,
or feature availability. Platform outages or technical issues originating from Vendasta are
outside our control.

Account Security

Clients are responsible for safeguarding login credentials and notifying Andromeda
Integrations immediately of unauthorized access.

5. Third-Party Platforms and Integrations

Many services require connecting external platforms such as:

• Meta (Facebook & Instagram)
• Google Business Profile
• CRM systems
• Email and SMS marketing tools
• Review management platforms

Your use of those platforms is governed by their respective Terms & Conditions. We do not
control third-party policies or system behavior.

6. AI Tools and Automation

AI-Generated Content

We use AI tools to generate drafts, content, captions, review responses, recommendations,
and automated actions. You acknowledge and agree that:

• AI-generated content may require manual review or editing
• You are responsible for final approval of materials published on your behalf
• AI content may not always be accurate, complete, or error-free

Automated Processes

Some services involve automation, including scheduling, posting, messaging, and customer
workflow automations. These processes operate based on the settings and permissions you
provide.

7. No Guaranteed Results

Andromeda Integrations does not guarantee specific business outcomes including, but not
limited to:

• Lead volume or lead quality
• Sales or revenue increases
• Search engine rankings
• Customer reviews or ratings
• Appointment bookings
• Traffic increases

Marketing performance depends on numerous factors outside our control, including industry
competition, ad budgets, market conditions, content quality, platform behavior, and user
activity.

8. Financing and Brokerage Referrals

At your request, Andromeda Integrations may assist in submitting business information to
third-party financing or lending partners.

Limitations of Role

• We are not a lender, bank, or financial institution
• We do not approve, deny, underwrite, or influence financing decisions
• We do not guarantee financing approval or financing terms

Sensitive Financial Data

Sensitive information such as Social Security numbers, bank statements, tax returns, ID
documents, and credit reports are not collected or stored by Andromeda Integrations. These
are submitted directly to the financing partner and governed by their own policies.

9. Payment Terms

• Most services are billed monthly in advance
• Payments are due on or before the renewal date
• Failed payments may result in suspension of services
• Certain services may require setup fees or deposits

Refund Policy

Because services involve time, labor, and software activation, all payments are generally
non-refundable unless otherwise required by law.

10. Term, Cancellation, and Termination

Month-to-Month Services

You may cancel month-to-month services with written notice prior to the next billing cycle.

Fixed-Term Contracts

If a service requires a fixed term, cancellation prior to the end of the term may result in early
termination fees as specified in the service agreement.

We May Suspend or Terminate Services If:

• You violate these Terms
• You misuse the Business App or integrated platforms
• Your payment method fails repeatedly
• You engage in abusive or unlawful behavior

11. Content Ownership and Intellectual Property

Your Content

Any content you provide (images, videos, text, branding assets) remains your property. You
grant Andromeda Integrations a license to use such content for service delivery.

Our Content

All materials created by Andromeda Integrations—including designs, AI-generated content,
documents, strategies, templates, and automations—remain our intellectual property unless
explicitly assigned to you in writing.

12. Acceptable Use

You agree not to:

• Use services for unlawful, fraudulent, or malicious activity
• Upload harmful code or attempt unauthorized access
• Interfere with platform functionality
• Misrepresent your identity or business
• Exploit AI or automation tools in prohibited ways

13. Limitation of Liability

To the fullest extent permitted by law, Andromeda Integrations is not liable for:

• Loss of revenue, profits, customers, or opportunities
• Business interruption or downtime
• Platform outages or issues originating from Vendasta or third-party platforms
• Errors in AI-generated content
• Actions or inactions of external service providers

Our total liability for any claim is limited to the amount you paid for the service in the
preceding 30 days.

14. Third-Party Services

We integrate with various third-party services. Their actions, data handling practices, and
system performance are outside our control. You are responsible for reviewing their individual
Terms & Conditions.

15. Indemnification

You agree to indemnify and hold harmless Andromeda Integrations from claims, damages,
losses, or liabilities arising from:

• Your misuse of our services
• Your content or data you provide
• Your violation of these Terms
• Your use of third-party integrations

16. Changes to These Terms

We may update these Terms periodically. The latest version will always be available on our
website. Continued use of our services constitutes acceptance of any updates.

17. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of
law principles. Any disputes shall be resolved in the courts located in Sacramento County, CA.
